1. Agreement to Terms

By accessing or using the services provided by LotBot Inc. ("LotBot," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services. These Terms apply to all visitors, users, and customers of LotBot.

2. Description of Services

LotBot provides chat and text messaging solutions for automotive dealerships, including:

• Website chat widgets for customer engagement
• SMS/text messaging capabilities
• AI-powered inventory search and customer assistance
• Lead management and notification tools

3. User Responsibilities

As a user of our services, you agree to:

• Provide accurate and complete information when registering or submitting forms
• Use the services only for lawful purposes and in accordance with these Terms
• Maintain the confidentiality of your account credentials
• Notify us immediately of any unauthorized use of your account
• Comply with all applicable laws, including those governing text messaging and telecommunications

4. Acceptable Use

You agree NOT to use our services to:

• Send spam, unsolicited messages, or bulk communications
• Harass, threaten, or harm others or engage in illegal activities
• Transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Violate any applicable laws or regulations, including TCPA, CAN-SPAM, or other messaging laws
• Use the services in any way that could damage, disable, or impair our infrastructure

5. SMS Messaging Terms

By consenting to receive SMS messages from LotBot:

• You acknowledge that message and data rates may apply based on your mobile carrier plan
• You understand that message frequency varies based on your interactions
• You can opt out at any time by replying STOP to any message
• You can get help by replying HELP to any message
• Your consent is not required to purchase goods or services

Supported carriers include major US carriers. Carriers are not liable for delayed or undelivered messages.

6. Payment Terms

For paid subscription services:

• Billing: Services are billed on a month-to-month basis unless otherwise agreed
• No Long-Term Contracts: You are not required to commit to an annual contract
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period
• Refunds: We do not provide refunds for partial months of service
• Price Changes: We reserve the right to change pricing with 30 days notice

7. Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, and software, are owned by LotBot Inc. and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• LotBot shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim
• We are not liable for any loss or damage arising from service interruptions, data loss, or third-party actions

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOU USE THE SERVICES AT YOUR OWN RISK.

10. Indemnification

You agree to indemnify, defend, and hold harmless LotBot Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of our services or violation of these Terms.

11. Termination

We may terminate or suspend your access to our services immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination, your right to use the services will cease immediately.

12. Dispute Resolution

Any disputes arising from these Terms or your use of our services shall be:

• First attempted to be resolved through informal negotiation by contacting us
• If not resolved within 30 days, subject to binding arbitration in Austin, Texas
• Governed by the laws of the State of Texas, without regard to conflict of law principles

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the services after changes constitutes acceptance of the new Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
